Welcome to ZenoLedgers. These Terms of Service (“Terms”) govern your use of ZenoLedgers’ services, website, and platforms (collectively, the “Services”). By using our Services, you agree to these Terms.
ZenoLedgers provides US entity formation and compliance services to clients globally, including but not limited to US citizens, Indian citizens, and residents of both countries. Our team consists of US CPAs and Indian Chartered Accountants who assist with entity formation, compliance, and related services.
Definitions
“Services” refers to US entity formation, compliance, tax, and related professional services provided by ZenoLedgers
“Client” refers to any individual or entity using our Services
“Content” refers to all materials and information provided through our Services
“Fees” refers to any charges for our Services as outlined in our pricing structure
“Intellectual Property” includes our trademarks, copyrights, and other proprietary information

Service Limitations

We do not guarantee approval of any applications or filings
Services are subject to compliance with all applicable laws
Banking services are provided through third-party partners
Client Obligations
Information Accuracy
You must provide accurate and complete information
You must update information promptly if changes occur
You are responsible for the accuracy of all submitted documents
Compliance Requirements
You must comply with all applicable laws and regulations
You must maintain required licenses and permits
You must meet all tax and reporting obligations
Indian clients must comply with RBI/FEMA regulations
Fees and Payment
Service Fees
Fees are as outlined in our current pricing structure
We reserve the right to modify fees with notice
Additional services may incur additional charges
Payment Terms
Payment is required before service delivery
Fees are non-refundable unless otherwise specified

Jurisdiction-Specific Rights
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. All claims and disputes arising under or relating to these Terms will be resolved exclusively in the state and federal courts located in California, United States. You consent to personal jurisdiction in these courts.
For clients based in India:
Primary venue: State and Federal courts located in California, United States
For Indian clients: While California law governs, mandatory arbitration in California with remote participation options available
International arbitration under California law available upon mutual agreement
Changing to Terms
We may update these term periodically
Changes effective upon posting
Continued use constitutes acceptance
Material changes will be notified directly
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. For Indian clients, while California law governs these Terms, compliance with Indian laws and regulations (including but not limited to RBI and FEMA requirements) remains mandatory for applicable aspects of the Services.
